1. Who we are

The website divaniclick.com (the "Site") is operated by Div. & Co. S.r.l., with registered office at Via Barbaro Forleo 35, 72021 Francavilla Fontana (BR), Italy — tax code, VAT number and registration number with the Brindisi-Taranto Companies Register 02304260744 — REA BR-136039 — share capital € 10,000.00 subscribed, of which € 2,500.00 paid up — certified email (PEC) divandco@pec.it — email info@divaniclick.com — phone +39 0831 811428 (hereinafter "DivaniClick", "we" or "us"). DivaniClick is a brand of Div. & Co. S.r.l. The Site runs on the Shopify platform, which enables us to provide our services to you.

These Terms and Conditions ("Terms") govern browsing of the Site and purchases made through it. Please read them before ordering: by placing an order you accept them. Consumer protection rules (Italian Legislative Decree no. 206 of 6 September 2005, the "Consumer Code") apply to anyone who buys for purposes unrelated to their business or profession; business customers are also subject to section 15.

2. Our products

We sell chairs, stools, armchairs and furnishing accessories made to order in the combination of fabric, colour and finish you choose on the product page. We describe our products with care; however, the rendering of fabric and finish colours may vary depending on the screen you use. If a detail is decisive for your choice, write to us before ordering at info@divaniclick.com. The essential characteristics of each product (materials, dimensions, options) are those shown on the product page at the time of the order.

3. Orders and conclusion of the contract

An order placed through the Site is an offer to purchase. The contract is concluded when you receive our order confirmation email, which contains the summary of the products, the total price, the delivery time and a link to these Terms. We may decline an order only for a justified reason (product no longer available, obvious pricing error, inability to verify payment): in that case we notify you within 5 working days and fully refund any amount already charged.

Before submitting the order, please check model, fabric, colour, finish and quantity carefully: each product is made according to your choices.

4. Order cancellation

You may cancel your order free of charge within 24 hours of receiving the confirmation email by writing to info@divaniclick.com with your order number: we refund the full amount using the same payment method. After 24 hours we start producing your product and the order can no longer be cancelled, without prejudice to the rights the law grants you in case of late delivery (section 7) or lack of conformity (section 9).

5. Prices, payment and invoicing

All prices are in euro and include VAT and standard shipping within Italy with kerbside delivery. No customs duties or import costs apply because we deliver only within Italy. Any surcharge for special deliveries (restricted traffic zones, historic centres not accessible to vehicles, minor islands, delivery to the floor) is communicated to you and must be accepted by you before production starts; if you do not accept it, you may cancel the order at no cost.

The price applied is the one shown on the Site when the order is submitted and stated in the confirmation email; subsequent price changes or promotions do not apply to orders already confirmed. If a price is manifestly wrong (for example due to a typo) we contact you before production starts: you may confirm the order at the correct price or cancel it with a full refund.

You can pay by credit and debit card and by the other methods shown at checkout; the amount is charged when the order is confirmed. Payments are handled by certified payment service providers: we do not store your full card details.

For every order we issue the tax document required by law. An electronic invoice is issued on request for private customers (enter your tax code in the order notes or write to us on the day of the order) and is mandatory for companies and professionals, who must provide their VAT number and SDI recipient code or PEC address.

6. Delivery

We deliver only within Italy. Because each product is made to order, the agreed delivery time is 20-25 working days from order confirmation, unless a different time is stated on the product page or agreed by email. Deliveries close to public holidays may take a few extra days: in that case we let you know in good time. Delivery arrangements (courier, phone contact, kerbside delivery, what to do if the packaging is damaged) are described in the Shipping Policy, which forms part of these Terms.

7. Late delivery and passing of risk

If we fail to deliver within the agreed time, you may grant us in writing an additional period appropriate to the circumstances; if that period also expires without delivery, you are entitled to terminate the contract and obtain, without undue delay, a full refund of everything you paid (art. 61 of the Consumer Code). The risk of loss of or damage to the products passes to you only when you, or a person designated by you other than the carrier, take physical possession of them (art. 63 of the Consumer Code).

8. Right of withdrawal

Our chairs, stools and armchairs are made to order in the combination of fabric, colour and finish that you choose: they are goods made to your specifications or clearly personalised, for which, under art. 59(1)(c) of the Consumer Code, the 14-day right of withdrawal does not apply. This information is also shown on the product page and in the order summary. For any non-personalised products, identified as such on the product page, you have the right to withdraw within 14 days of delivery without giving any reason, following the procedure, deadlines and return costs described in the Refund Policy. In all cases the legal guarantee of conformity in section 9 remains unaffected.

9. Legal guarantee of conformity

All products are covered by the legal guarantee of conformity provided for in articles 128-135-septies of the Consumer Code. If within 2 years of delivery the product shows a lack of conformity, you are entitled, free of charge, to repair or replacement; if that is impossible or disproportionate, to an appropriate price reduction or to termination of the contract with a refund. Defects that appear within one year of delivery are presumed to have existed at that date, unless proven otherwise. The action to enforce the defect is time-barred 26 months after delivery.

The following are not lacks of conformity: normal wear and tear, damage caused by improper use, by assembly not in accordance with the instructions or by unauthorised repairs, and the slight shade variations typical of fabrics and natural materials indicated on the product page. To claim under the guarantee write to info@divaniclick.com quoting your order number and attaching a few photos: we take care of collection and return shipping at our expense. This guarantee is in addition to any commercial warranty stated on the product page and does not replace it.

10. Liability

We are liable for damage arising from our non-performance within the limits set by law. Nothing in these Terms excludes or limits our liability for wilful misconduct or gross negligence, for death or personal injury, for the rights arising from the legal guarantee of conformity or for any other liability that cannot be excluded or limited by law. We are not liable for damage arising from use of the products that is not in accordance with the instructions or their intended purpose, nor for the content of third-party websites reachable through links on the Site. Anyone who uses the Site in breach of the law or of these Terms is liable for the damage caused to us or to third parties.

11. Complaints and dispute resolution

For any complaint write to info@divaniclick.com (or to the certified email divandco@pec.it) quoting your order number: we reply within 5 working days. If you are not satisfied, as a consumer you may turn to an alternative dispute resolution (ADR) body under articles 141 et seq. of the Consumer Code, for example the mediation service of the Brindisi-Taranto Chamber of Commerce or one of the bodies listed by the Italian Ministry of Enterprises and Made in Italy; on request we will tell you which bodies we are willing to take part in. Your right to go to court is always preserved.

12. Use of the Site, intellectual property and reviews

You may use the Site only for lawful purposes and to buy our products. The following are not permitted: using the Site for unlawful or harmful activities; transmitting viruses or malicious code; collecting other users' data; copying, extracting or reusing Site content by automated means (robots, scrapers, artificial intelligence tools) without our consent; circumventing security measures; impersonating another person. Any automated software agents must identify themselves as such in their requests and respect the technical limits we apply.

Texts, photographs, graphics, logos, product names and the DivaniClick trademark are the property of Div. & Co. S.r.l. or its licensors and are protected by copyright and industrial property laws. You may view them for personal use; any other use (reproduction, distribution, modification, publication) requires our written consent.

If you send us reviews, photos, suggestions or other content, you authorise us to use and publish them, including in abridged form, to promote our products, without compensation; you warrant that you hold the rights to them and that they do not infringe third-party rights. We may remove unlawful, offensive or irrelevant content. We publish only reviews from customers who actually bought the product reviewed, verified through the order; reviews collected on our previous online shop are identified as such.

13. Third-party tools and links; relationship with Shopify

The Site may contain links to websites or tools operated by third parties (for example social networks or payment services), which we do not control: their use is governed by those third parties' terms and policies. The Site is hosted on the Shopify platform; all sales, however, take place directly between you and Div. & Co. S.r.l., which is the sole seller and solely responsible for the products: Shopify is not a party to the sales contract.

14. Account, changes to the Terms, assignment

If you create an account you are responsible for keeping your credentials confidential. We may suspend or close an account in case of fraudulent use or use contrary to these Terms, giving you notice; this does not affect orders already confirmed. We may update these Terms by publishing the new version on the Site with the update date: changes apply only to orders placed after publication. We may assign the contract to a party taking over our business, provided this does not reduce the guarantees in your favour. If any clause of these Terms is void, the others remain valid; in case of doubt about the interpretation of a clause, the meaning most favourable to the consumer prevails.

15. Business customers

If you buy in the course of your business or profession (bars, restaurants, accommodation facilities, professional practices, resellers) the rules of the Consumer Code do not apply, in particular the right of withdrawal and the 2-year legal guarantee of conformity; the warranty for defects under articles 1490 et seq. of the Italian Civil Code applies instead, with notice of defects within 8 days of discovery and a limitation period of one year from delivery. The commercial conditions of bulk supplies (prices, deposits, lead times, delivery to the floor) are set out in the written quotation, which prevails over these Terms in case of conflict. Electronic invoicing is mandatory. Exclusive jurisdiction: Court of Brindisi.

16. Governing law and jurisdiction

These Terms and the contracts concluded through the Site are governed by Italian law. For disputes with consumer customers, the court of the place where the consumer resides or is domiciled, if located in Italy, has exclusive jurisdiction (art. 66-bis of the Consumer Code). For disputes with business customers the Court of Brindisi has exclusive jurisdiction.
